These Terms and Conditions (“Terms”) govern your access to and use of Zeman Manufacturing Company’s (“Zeman,” “we,” “us,” or “our”) website and the purchase or inquiry of products and services offered by Zeman. By submitting a request for quote (RFQ), placing an order, or engaging with us through our website or sales channels, you agree to be bound by these Terms.

1. Scope of Products and Services

Zeman specializes in the fabrication of small-diameter, high-performance metal tubing used in industries including medical, aerospace, energy, transportation, foodservice, and more. Our offerings include:

  • Precision tube bending and cutting
  • CNC machining and forming
  • Welding and assembly
  • Custom component engineering and prototyping
  • Materials: stainless steel, aluminum, brass, nickel alloys, titanium, and others

All product capabilities are subject to change and availability.

2. Quotes and Orders

All orders are subject to:

  • A formal quotation process initiated by the customer via the RFQ form or direct contact
  • Review and approval by Zeman’s engineering and production team
  • Terms and pricing valid only for the period specified in the quote (typically 30 days unless stated otherwise)

Zeman reserves the right to reject or cancel any RFQ or order at its sole discretion, including for technical, commercial, or compliance reasons.

3. Custom Manufacturing and Tolerances

Due to the nature of precision manufacturing:

  • Products are built to custom specifications agreed upon in writing
  • Customers are responsible for supplying clear and complete drawings, tolerances, and requirements
  • Manufacturing tolerances will follow industry standards unless otherwise specified and confirmed

Zeman is not liable for errors resulting from incomplete or ambiguous customer-provided documentation.

4. Pricing and Payment

Unless otherwise agreed:

  • All prices are in U.S. dollars and exclusive of taxes, duties, and shipping
  • Standard payment terms are Net 30 days from the date of invoice
  • Late payments may incur service fees or interest in accordance with applicable law

Zeman reserves the right to adjust pricing due to changes in material cost, scope, or other factors with prior notice.

5. Shipping and Delivery

Zeman will make reasonable efforts to meet delivery timelines. However:

  • Delivery dates are estimates only and not guaranteed
  • Risk of loss transfers to the customer upon shipment
  • Shipping method and carrier will be determined at time of order confirmation or as specified by the customer

Expedited orders may incur additional charges.

6. Quality Assurance

Zeman operates under ISO 9001:2015 and ISO 13485:2016 certifications. Every order is inspected per agreed specifications.

Inspection methods may include:

  • Visual inspection
  • Dimensional checks
  • Non-destructive testing
  • Pressure or functional testing (as applicable)

Customers must report any non-conformities within 10 business days of receipt.

7. Intellectual Property

Zeman retains ownership of all manufacturing processes, tooling designs, and proprietary methods unless otherwise agreed in writing. Customer-supplied drawings and proprietary data will be handled confidentially and used solely for the scope of the approved project.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Zeman shall not be liable for indirect, incidental, or consequential damages
  • Liability is limited to the cost of the affected products or services only
  • Zeman is not liable for delays or failures due to events beyond its control (force majeure)

9. Termination and Cancellation

Order cancellations are subject to Zeman’s approval and may incur:

  • Fees for materials purchased
  • Costs of labor and production to date
  • Restocking or administrative charges (if applicable)

Custom or in-progress orders may not be eligible for full refunds.

10. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law rules. Any disputes shall be resolved in the courts located in DuPage County, Illinois.
